Qudol Terms of Use

Clisertec, Inc. D/B/A Qudol ("Qudol," "we," "us" or "our") has created a website at https://www.qudol.com (the "Website" or "Site") to provide information about Qudol, our activities and products we may offer.

To assist you in using the Website, we have created (i) these Terms of Use (the "Terms"), and (ii) a Privacy Notice. Our Privacy Notice explains how we treat information that you provide to us through the Website, including any medical information and our Terms govern your use of our Website and content. Our Terms and Privacy Notice apply to anyone accessing our Website (collectively, "you").

Please read these Terms carefully; they impose legal obligations on you and on Qudol, and establish our legal relationship. By accessing our Website, you are acknowledging that you have read and understood these Terms and agree to be legally bound by them.

  2. Overview. The Website provides a venue to obtain information about Qudol, our products, and product support.

The Website and associated Qudol Content are the proprietary property of Qudol and our licensors, and are protected by U.S. and international copyright, trademark and other intellectual property laws, or are used under the principles of fair use. Qudol and our licensors retain all rights with respect to the Website and Qudol Content except those expressly granted to you in these Terms.

    Qudol product or service names or logos referenced in this document are either trademarks or registered trademarks of Qudol and/or its affiliates. The absence of a product or service name or logo from this list does not constitute a waiver of Qudol’s trademark or other intellectual property rights concerning that name or logo.

    Other trademarks and product names are the property of their respective owners. Nothing contained in our Website should be construed as granting any license or right to use any trademarks or logos.

  4. Grant of Rights. Subject to your compliance with these Terms, you are granted the right to access our Website and Qudol Content solely for your personal, non-commercial use. You may not (i) license, sublicense, sell, resell, distribute or otherwise commercially exploit the Website or Qudol Content to any third party; (ii) modify or make derivative works based upon the Website or Qudol Content; or (iii) reverse engineer, reverse compile, or access the Website or Qudol Content in order to build a competitive product or service.

  5. Comments/Feedback. Our Website may allow you to provide comments or feedback regarding our Website and our Qudol Content. By providing comments/feedback, you grant us the right to use your comments and feedback for the purposes of improving the Website.

    • Seek to obtain access to any materials or information through “hacking”, “data harvesting” or through other means we have not intentionally made available to you through the Website.
    • Use the Website for any purpose that is unlawful or prohibited by these Terms. For example, you may not use the Website to violate any law, statute or regulation (including, without limitation, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising).

  6. Jurisdiction. Certain sections of our Website contain information about our products that are not available in all countries. Information that we publish on the Internet may contain references or cross-references to our products, programs, and services that are not announced or available in your country. Such references do not imply that we intend to announce such products, programs, or services in your country. We reserve the right to limit provision of our products and services to any person, geographic region or jurisdiction and/or to limit the quantities of any products or services we provide. Any offer for any product or service made in the materials on this Site is void where prohibited.

  7. Monitoring; Revocation or Suspension of Use Privileges. We reserve the right at any time to (i) monitor your use of the Website, and (ii) terminate or suspend your use of some or all of the Website if you engage in activities that we conclude, in our discretion, breach our Code of Conduct or otherwise violate these Terms or our Privacy Notice. Although we have no – and assume no – obligation to monitor activities on the Website, please understand that we may employ filters designed to detect and block inappropriate content described in our Code of Conduct. We reserve the right to request edits to your submission, to refuse to post or to remove any information or materials, in whole or in part, that we believe, in our sole discretion, is incompatible with our Code of Conduct.

QUDOL DOES NOT PROMISE THAT THE WEBSITE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT YOU WILL OBTAIN SPECIFIC RESULTS FROM YOUR USE OF THE WEBSITE OR YOUR USE OF ANY CONTENT, SEARCH OR LINK ON IT. THE WEBSITE AND QUDOL CONTENT ARE DELIVERED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WHEN YOU ACCESS THE WEBSITE, YOU DO SO AT YOUR OWN RISK. We will not “retroactively” change these Terms, and any modifications we make will take effect proactively, once you next access the Website.   13. Assignment. These Terms are not assignable by you, either in whole or in part. Qudol reserves the right to assign its rights and obligations under these Terms.

  14. General. These Terms will be governed in all respects by the laws of the Commonwealth of Massachusetts without giving effect to any conflicts of law provisions that would lead to the application of the laws of another jurisdiction. Each party submits to the personal jurisdiction of and venue in the state and federal courts in the Commonwealth of Massachusetts, in the judicial district where Qudol resides. The parties further agree that any cause of action arising under this Agreement will exclusively be brought in such courts. If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will be enforced. Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section. Qudol’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. These Terms set forth the entire understanding and agreement between Qudol and you with respect to the subject matter hereof and supersede any prior or contemporaneous understanding, whether written or oral.

  15. Relationship to Privacy Notice. These Terms must be read in conjunction with our Privacy Notice. The provisions of our Privacy Notice are incorporated herein. To the extent these Terms conflict with the terms of our Privacy Notice, the terms of our Privacy Notice will control.
